Are There Escrow Companies in Brazil?

No. There are no “true escrow companies” in Brazil.

Escrow is not part of the Brazilian business culture and legal system. As a result, there are no companies providing escrow services in Brazil, at least in the scale and easiness of use that exists in countries such as the United States.

How Are Escrow Services Provided in Brazil?

A few law firms in Brazil try to emulate an escrow service by evaluating the goals of the parties and drafting a contract reasonably governing the transaction, and stipulating what should trigger the release of the escrow funds.

Because of the legal services fees and the potential litigation costs, escrow services in Brazil will customarily be available only to high-amount transactions. Not surprisingly, most of these transactions will be related to the acquisition of real estate in Brazil

What Types of Escrow Accounts Do You Provide?

Our firm works mostly with two varieties of escrow accounts:

1. Emulated Escrow Account: Timing the release of funds in real estate acquisitions

We are able to assist foreign parties in wiring the funds required for the purchase of real estate and time the release to happen close to the moment when the transfer deed will be signed. This is called emulated escrow account since we actually release the funds prior to the signature of the transfer deed. This modality is simpler and does not require the seller to understand or accept the use of the emulated escrow account. It is usually the first choice for our individual clients acquiring real estate property in Brazil.

2. True Escrow Account

In this modality, we provide a true escrow account. This means that unless the expected condition happens (e.g., the seller signs the transfer deed), our firm will not release the funds to the seller. This modality is more complex, requires substantial involvement of our lawyers, and it also requires the seller to understand and accept the use of our escrow account services. While everyday private owners/sellers lack the sophistication to understand and accept the concept, larger and institutional sellers are usually willing to work with such escrow accounts.

Real Estate Escrow in Brazil: Can You Help?
